Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Business Automation Service Pty Ltd (“BAS”, “we”, “us”, “our”) website and software products including but not limited to the CFO Workbench, MatterPath and any future products. By accessing our website or using our services, you agree to these Terms.

Partner Firm Model
Where an accounting practice or advisory firm (“Partner Firm”) accesses BAS services to deliver services to their own clients (“End Clients”), these Terms govern the Partner Firm’s use. Partner Firms are responsible for: (a) their own terms and conditions with their End Clients; (b) ensuring End Clients understand how their data is processed by BAS; and (c) obtaining any consents from End Clients required for BAS to process their data. End Clients do not have a direct contractual relationship with BAS unless they have independently contracted with BAS.

1. Acceptance of Terms

By accessing or using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using our services on behalf of an organization, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use our services.

2. Service Description

BAS provides software-as-a-service products designed to automate accounts payable, financial operations, and related business processes. The AP Process Platform is sold to AP Automation Service and CFO Workbench are licensed to accounting firms who deploy it them to deliver bookkeeping and CFO services to their clients.

Our services incorporate AI and machine learning technology to process documents, classify transactions, and generate outputs. See Section 9A for important limitations on AI-processed outputs.
We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice.

3. Account Registration and Access

Access to our software products requires a service agreement and account registration. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain confidentiality of your account credentials
  • Notify us promptly of any unauthorised access or security breach
  • Take responsibility for all activities under your account
  • Comply with all applicable laws when using our services

4. Acceptable Use

You agree NOT to:

  • Use our services for any illegal, fraudulent, or unauthorised purpose
  • Attempt to gain unauthorised access to our systems or other users’ data
  • Interfere with or disrupt service operation, security, or performance
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell, sublicense, or redistribute our services without written permission
  • Submit false, misleading, or unlawful data through our services
  • Use our services to send spam, malicious content, or harmful software
  • Violate the intellectual property rights of Business Automation Service or any third party

5. Intellectual Property

All content, software, processes, designs, and materials provided through our services are owned by Business Automation Service or our licensors and are protected by Australian and international intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use our services for your internal business purposes.

You retain ownership of your data submitted to our services. By submitting data, you grant us a limited license to process that data as necessary to provide the services.

6. Fees and Payment

Use of our software products requires payment of fees as specified in your service agreement, via via Stripe payment processing, or via Microsoft Marketplace subscription. Fees are due in advance unless otherwise agreed in writing. Where fees are processed via Stripe, Stripe’s terms of service also apply to the payment transaction.

Failure to pay fees when due may result in suspension or termination of services. We reserve the right to change pricing with reasonable notice. Existing subscriptions are honoured at agreed rates until renewal.

7. Microsoft Marketplace Transactions

Where you purchase our services through the Microsoft Commercial Marketplace, the following additional terms apply:

  • Microsoft acts as the merchant of record and processes your payment
  • Microsoft’s marketplace terms also govern your transaction
  • Subscription lifecycle (provisioning, renewal, cancellation) follows Microsoft’s standard process
  • Business Automation Service provides the underlying service in accordance with these Terms

8. Third-Party Integrations

Where you connect a third-party accounting platform (including Xero, MYOB, or similar) to BAS services:
  • You authorise BAS to access only the data scopes approved by you at the time of connection
  • BAS accesses third-party platform data solely to provide the features you have enabled
  • You may disconnect any integration at any time via the platform settings. On disconnection, BAS will cease retrieving new data and will delete stored OAuth credentials within 30 days
  • BAS is not responsible for the availability, accuracy, or continuity of third-party APIs. Changes to third-party platform APIs, pricing, or access policies that affect BAS service delivery do not constitute a breach of these Terms
  • Third-party platform outages (including Xero, Microsoft Azure, or other integrated services) are beyond BAS’s control and are excluded from any service level commitments

9. Service Availability and Support

We endeavour to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, and unforeseen events may temporarily affect availability.

Standard support is provided via email during Australian business hours during Australian business hours (9am–5pm AEST/AEDT Monday to Friday, excluding Queensland public holidays). Service level commitments, if any, are specified in your service agreement.

10. Disclaimers

Our services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties not expressly provided in your service agreement, including warranties of merchantability, fitness for particular purpose, and non-infringement.

Nothing in these Terms excludes consumer guarantees that cannot be excluded under the Australian Consumer Law.

11. AI Processing Limitations

Our AP Automation Service uses artificial intelligence to process invoices, extract data, and classify transactions. You acknowledge and agree that:
  • AI-generated outputs including coded invoices, extracted data fields, and transaction classifications may contain errors or inaccuracies
  • You are solely responsible for reviewing AI-processed outputs before posting entries to your accounting system or acting on any AI-generated output
  • BAS is not liable for financial loss, tax errors, or accounting discrepancies arising from AI-processed outputs that were not reviewed by a qualified person before use
  • Processing accuracy depends on the quality, clarity, and completeness of data submitted. BAS makes no guarantee of accuracy rates for any particular document type

12. Limitation of Liability

To the fullest extent permitted by law, BAS’s total liability arising from or related to these Terms or our services is limited to the fees paid by you in the 12 months preceding the claim.

We are not liable for indirect, incidental, consequential, or special damages, including lost profits, data loss, or business interruption. Without limiting the foregoing, BAS is not liable for: (a) errors in AI-processed outputs where you did not review those outputs before use; (b) service unavailability caused by third-party platform outages including Microsoft Azure, Xero, MYOB, or other integrated services; or (c) data loss caused by third-party infrastructure failures.

Nothing in these Terms limits liability for fraud, wilful misconduct, death, or personal injury caused by negligence.

13. Indemnification

You agree to indemnify and hold Business Automation Service harmless from any claims, damages, or expenses arising from your breach of these Terms, your misuse of our services, or your violation of any third party’s rights.

14. Term and Termination

These Terms apply for as long as you access our services. Either party may terminate the service agreement in accordance with its terms.

On termination:

  • Your access to services will be discontinued
  • You may request export of your data within 30 days of termination. Exports are provided in CSV format or via your connected accounting platform where applicable
  • Following the export window, BAS will delete your operational data except where retention is required by law. Financial records and transaction data processed through our services are retained for 7 years in accordance with Australian taxation record-keeping obligations, after which they are securely deleted
  • Sections that by nature should survive termination will continue to apply

15. Force Majeure

BAS is not liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, government action, failure of third-party infrastructure (including Microsoft Azure, Xero, or telecommunications networks), or cyberattacks. BAS will notify you promptly of any such event and resume performance as soon as reasonably practicable.

16. Assignment

BAS may assign or transfer its rights and obligations under these Terms to a successor entity in connection with a merger, acquisition, or sale of all or substantially all of its business assets, provided the successor entity assumes BAS’s obligations under these Terms. BAS will provide reasonable notice of any such assignment. You may not assign your rights or obligations under these Terms without BAS’s prior written consent.

17. Governing Law and Disputes

These Terms are governed by the laws of Queensland, Australia. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

We encourage you to contact us first to resolve any concerns informally before pursuing formal action.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or prominent notice on our website. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
